These terms and conditions (“Terms of Use,” “Terms of Service,” or simply “Terms”) constitute a computer-generated electronic record under Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, read with the Information Technology Act, 2000, both as amended from time to time. No physical or digital signature is required for these Terms to be valid.
These Terms are legally binding and govern your access to and use of the “Noble Web Studio Platform”, which is owned and operated by Noble Web Studio Private Limited, a company incorporated under the laws of India, having its registered office at 126 & 126 A, Second Floor, Singhania Tower, New Sanganer Road, Mansarovar, Jaipur – 302020 (“Noble Web Studio” or the “Company”). Please read these Terms carefully before accessing the Platform or using any of the services (“Services”) offered by Noble Web Studio.
By accessing or using the Platform or Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms along with Noble Web Studio’s Privacy Policy. If you do not agree with these Terms or the Privacy Policy, you must refrain from using the Platform or Services in any manner.
These Terms are supplementary to any other terms and conditions issued by Noble Web Studio from time to time. In the event of any inconsistency, these Terms shall prevail. Within this document, the terms “we,” “us,” and “our” refer to Noble Web Studio, while “you” and “your” refer to the user of the Platform (“User”). Collectively, Noble Web Studio and the User may be referred to as the “Parties” and individually as a “Party.”
Noble Web Studio reserves the right to modify, update, revise, or amend these Terms, as well as the Platform and Services, at any time and without prior notice, to reflect changes in applicable law or to enhance the user experience. Users are strongly advised to review the Terms periodically to stay informed of the latest version. If you disagree with any changes, you should discontinue use of the Platform and Services. Continued access or use of the Platform or Services after any modifications shall constitute your acceptance of the updated Terms.
DEFINITIONS AND INTERPRETATION
For the purposes of these Terms, including the Terms and Conditions, BC Merchant Terms and Conditions, the following terms shall have the meanings assigned to them below:
- “Account” shall have the meaning assigned under Clause 1.2 of these Terms.
- “Affiliate” means any individual, entity, firm, or body corporate that directly or indirectly controls, is controlled by, or is under common control with Noble Web Studio.
- “Applicable Law” refers to:
- any law, statute, regulation, rule, order, circular, directive, judgment, or similar mandate issued by any central, national, state, or local governmental/regulatory authority with competent jurisdiction, as amended from time to time; and
- any notification, directive, or instruction issued by financial sector regulators including, but not limited to, the Reserve Bank of India (RBI), the National Payments Corporation of India (NPCI), and other enforcement or regulatory authorities, as amended from time to time.
- “Chargeback” means the reversal of any transaction made by a Service Provider’s User,
including but not limited to:
- forgery of the User’s account, card, or transaction details;
- charges/debits made on a card that is hot-listed or appears on card association warning bulletins;
- duplicate processing of a transaction;
- refunds due to wrongful/extra charges, denial of a valid transaction, or fraudulent misuse of personal/financial information; and
- any other reason as required or approved by the concerned banks.
- “Confidential Information” includes all business, technical, and financial information of Noble Web Studio or its Affiliates disclosed to the User, including but not limited to: internal management data, business operations, specifications, models, merchant information, forecasts, programs, documentation, customer details, Intellectual Property (as defined below), marketing strategies, trade secrets, business/financial plans, proposals, compensation/commission details, and other information customarily treated as confidential or proprietary, whether or not explicitly marked as such.
- “Effective Date” or “Registration Date” means the date on which the User registers their Account on the Noble Web Studio Platform.
- “Noble Web Studio Platform” or “Platform” means all digital properties owned and operated by the Company, including its websites (such as noblewebstudio.in and sub-domains), linked web pages, mobile applications (Android and iOS), mobile site services, APIs, features, content, and other digital assets enabling Users to access and use the Services.
- “Noble Web Studio Policies” means these Terms, the Privacy Policy, the Grievance Policy, and any other terms, policies, or conditions published and updated on the Platform from time to time.
- “Intellectual Property” includes all intellectual property rights used or associated
with these Terms or applicable agreements, including but not limited to:
- software, codes, programs, specifications, processes, data, and related information;
- patents, copyrights, trademarks, trade names, designs, logos, service marks, and brand elements (whether registered or unregistered);
- content, graphics, images, and overall “look and feel” of the Platform;
- all data, material, and information provided by Noble Web Studio; and
- techniques, methods, procedures, inventions, know-how, trade secrets, and any other proprietary knowledge.
- “KYC” shall mean the know your customer verification in the manner provided in RBI’s Master Directions on KYC dated February 25, 2016 and as updated from time to time.
- “Services” means all services provided by Noble Web Studio, directly or indirectly, including access and use of the Platform, as well as banking and non-banking services offered in collaboration with Service Providers.
- “Service Provider” means any banking or non-banking entity with which Noble Web Studio has an agreement to facilitate transactions with its customers.
- “User” means any individual, company, partnership, LLP, merchant, or other entity that accesses the Platform and/or uses the Services.
Interpretation
In this Business Partner Agreement, unless the context otherwise requires:
- Headings are provided for convenience only and shall not affect the construction or interpretation of this Agreement.
- References to any gender shall be deemed to include all genders.
- References to any statute or statutory provision shall be construed as including any amendment, modification, consolidation, re-enactment (with or without modification), and any rules, regulations, or orders issued under such statute.
- Words in the singular shall include the plural, and vice versa.
- References to “days” shall mean “calendar days”; references to “month” or “year” shall mean “calendar month” and “calendar year.”
- References to “intimation” or “intimated” shall include notifications or communications made by the Company via the Website and/or the Platform.
- Unless otherwise specified, any time period within or after which a payment must be made or an act performed shall exclude the day on which the period begins and include the day on which it ends. If the last day of the period is not a Business Day, the deadline shall extend to the next Business Day. Similarly, any payment or action required to be made or taken on a non-Business Day shall instead be made or taken on the next Business Day.
- References to “writing” shall include printing, typing, lithography, facsimile transmission, electronic communication (including e-mail), and any other means of reproducing words in a visible form, including instructions issued by the Company through the Website and/or Platform.
Acknowledgement & Acceptance
These Terms were last updated on 29 December 2024. By accessing, registering, signing up for, or otherwise using the Platform or Services in any manner, you confirm that you have read, understood, and agreed to be bound by these Terms. You further acknowledge that you have read our Privacy Policy and agree to comply with it.
By using the Platform or Services, you represent and warrant that the information and credentials you provide are accurate and may be used to verify your identity. We reserve the right to restrict, suspend, or terminate your access to the Platform or Services, at our discretion and without prior notice, if we reasonably believe you are in breach of these Terms.
For account security and to enhance your experience, we may employ technologies to monitor your activity on the Platform. Noble Web Studio also reserves the right to share your details with its affiliates and partner institutions, who may contact you via e-mail, telephone, or SMS for information or sales-related inquiries.
By using the Platform, you consent to receiving promotional materials and special offers from Noble Web Studio, its affiliates, and partner institutions. All such communications will be consent-based, and you will always have the option to unsubscribe from receiving them.
Eligibility
You may register as a User of the Platform or Services only if you are 18 years of age or older and are legally competent to enter into binding contracts under applicable law. Access to and use of the Platform or Services requires a valid e-mail address and an Indian mobile phone number.
Individuals who have previously been suspended or removed from using any of the Services are not eligible to access or use the Platform or Services at any time. You must not impersonate any person or entity, misrepresent your identity, age, or affiliation with any person or organization, or maintain more than one active account (as defined below) on the Platform.
General Terms and Conditions
These General Terms and Conditions govern the User’s access to and use of the Services.
Information Supplied to Noble Web Studio
You agree that all information you provide to Noble Web Studio during registration, payment, or at any other time shall be true, accurate, current, and complete. If any information provided by you is found to be false, inaccurate, outdate, or incomplete (or becomes so), or if Noble Web Studio reasonably suspects such to be the case, the Company reserves the right to suspend or terminate your Account and/or deny you access to the Platform or Services, whether in whole or in part, now or in the future.
Security of Account
A User’s mobile number, Permanent Account Number (PAN), and e-mail address shall serve as identifiers for their Account with Noble Web Studio, through which Services are provided (“Account”). Users are strongly advised to create a strong password and Personal Identification Number (PIN) to safeguard their Account and must not share these credentials with anyone.
Noble Web Studio or its Service Providers will never request a User’s Account password, PIN, OTP, or any other Confidential Information under any circumstances. If a User suspects that their Account is no longer secure, they must immediately update their password and PIN. If the User is unable to secure their Account or reasonably believes that it may have been compromised, they are required to notify Noble Web Studio without delay.
- While accessing or using the Platform and Services, Users shall comply with these Terms and all Applicable Laws, including but not limited to those relating to data security, management, storage, sharing, and protection. Users must also ensure that their employees, agents, and representatives maintain the same level of compliance.
- The User confirms and certifies that they shall not engage in any activity that violates Applicable Law. The User further agrees that all financial data and customer information received by them shall be stored only within India. Such data includes complete end-to-end transaction details and information collected, processed, or transmitted as part of messages or payment instructions. The User acknowledges and agrees that the balance maintained in their Account on the Platform is non-interest-bearing and may be forfeited by Noble Web Studio if it remains unused for more than three hundred and sixty-five (365) days.
- The User hereby grants Noble Web Studio a right of lien and set-off, which may be exercised at any time without prejudice to Noble Web Studio’s other rights under any agreement with the User. At its sole discretion and without notice, Noble Web Studio may appropriate or utilize any funds belonging to the User, whether deposited with Noble Web Studio, payable to the User, or receivable in the future, in order to recover amounts relating to transactions that were incorrectly or erroneously processed.
- Noble Web Studio shall have the right to freeze the operations of any User’s Account and/or exercise its lien or set-off rights, with or without notice, if it suspects any irregularity, omission, or unauthorised activity. The freeze shall continue until Noble Web Studio receives satisfactory clarifications from the User or is otherwise satisfied that Account operations may safely resume. The User shall promptly provide any information or clarifications requested by Noble Web Studio. Noble Web Studio shall not be liable for any loss, expense, or cost incurred by the User due to such freezing of the Account or exercise of lien/set-off rights. Furthermore, Noble Web Studio may, without notice to the User, defreeze the Account or remit the funds therein (whether in a single or joint Account) to the appropriate authority, upon receipt of any direction or notice from statutory, regulatory, legal, or investigative authorities.
Reclaiming Inactive Accounts
Noble Web Studio reserves the right to reclaim any Account, without prior notice to the User, if it is deemed inactive. For the purposes of this clause, an Account will be considered inactive if the User has neither logged in nor conducted any transactions for a continuous period of more than six (6) months.
Third-Party Sites, Products, and Services
The Services and/or Platform may contain links or references to third-party websites, products, or services for your convenience (“Reference Sites”). Noble Web Studio does not control, operate, or endorse any such Reference Sites, nor the information, materials, products, or services made available through them.
Any correspondence, transactions, or business dealings between you and a Reference Site are strictly between you and that third party. Your access to and use of Reference Sites, including any information, materials, products, or services available thereon, is entirely at your own risk.
You acknowledge and agree that Noble Web Studio shall not be responsible or liable, directly or indirectly, for any loss, damage, or expenses incurred or alleged to arise from your use of, or reliance on, any information, products, or services available through Reference Sites. Further, Noble Web Studio shall not be liable for any acts, omissions, errors, representations, warranties, breaches, or negligence of such Reference Sites, nor for any personal injury, death, property damage, or other loss or expense resulting from your interactions with them.
User’s Representations and Warranties
- By accessing or using the Platform and Services, the User represents, warrants, and undertakes that:
- They are legally eligible and have the capacity and authority to enter into, exercise rights under, and perform obligations under these Terms.
- They have carefully read and reviewed these Terms, and have had sufficient time to evaluate and understand the Services, including the financial requirements and risks associated with their use.
- Their acceptance of these Terms constitutes a valid, binding, and enforceable legal obligation in accordance with the provisions stated herein.
- Their use of the Services is solely for legitimate purposes, in good faith, and in full compliance with Applicable Law and any directions issued by Noble Web Studio from time to time.
- They shall promptly notify Noble Web Studio of any violation or potential violation of these Terms, or of any circumstance that may harm Noble Web Studio’s goodwill or reputation.
- They are responsible for obtaining all necessary consents and approvals from regulatory or governmental authorities, as well as any required customer consent for the transfer of personal data to the User and/or Noble Web Studio or its Affiliates, in compliance with Applicable Law.
- They shall strictly comply with Noble Web Studio’s Privacy Policy and all Applicable Laws relating to data protection, security, anti-piracy, and regulatory directions concerning payment data. They shall obtain and maintain all required registrations under Applicable Law for the operation of their business and shall not deal in any products or services listed as Restricted Services under these Terms (which may be amended or updated without prior notice).
- They shall only access the Platform and Services through the official interfaces provided by Noble Web Studio, and shall not use any automated tools (including deep-links, scrapers, bots, spiders, algorithms, or similar tools) or manual processes to copy, monitor, or circumvent the structure or presentation of the Platform.
- They shall not attempt to gain unauthorized access to any part of the Platform, its features, related systems, or connected networks, including servers or services, through hacking, password mining, or any other unlawful means.
- They shall inform Noble Web Studio if they have not filed income tax returns for any financial year beginning from FY 2020–21 and shall indemnify Noble Web Studio against any losses, liabilities, costs, taxes, interest, or penalties imposed by any governmental or regulatory authority for non-compliance with Section 206AB or any other provisions of the Income Tax Act, 1961. In case of such non-compliance, Noble Web Studio shall have the right to recover the applicable TDS amount, along with interest and penalty, from the User.
- They shall cooperate with Noble Web Studio in furnishing, upon request by auditors, Service Providers, governmental authorities, or law enforcement agencies, all KYC documents, books, transaction proofs, invoices, and other relevant records. The User further agrees to retain such transaction records for a minimum of ten (10) years from the date of the relevant order placed on the Platform.
Indemnification
The User agrees to indemnify, defend, and hold harmless Noble Web Studio, its Affiliates, contractors, employees, officers, directors, agents, third-party suppliers, licensors, and partners from and against any and all claims, demands, actions, suits, losses, damages, liabilities, costs, charges, and expenses (including, without limitation, reasonable legal fees and expenses) arising from or relating to:
- The User’s use or misuse of the Platform and/or Services;
- The User’s use or misuse of their Account;
- Any violation by the User of these Terms or any applicable agreement;
- Any breach of the representations, warranties, or covenants made by the User under these Terms or any applicable agreement;
- Any claim, legal notice, or proceedings (including quasi-legal proceedings) involving Noble Web Studio by any third party or governmental authority resulting from the User’s breach of Applicable Law;
- The User’s failure to obtain any statutory or regulatory approvals required for the performance of obligations under the applicable agreement with Noble Web Studio;
- Any liability, claim, damage, cost, or expense incurred by Noble Web Studio arising out of the User’s violation of Section 269ST of the Income Tax Act, 1961 while acting as a collection agent on behalf of Noble Web Studio.
Noble Web Studio reserves the right, at the User’s expense, to assume exclusive defense and control of any matter (including the right to settle) for which the User is required to indemnify Noble Web Studio. The User agrees to fully cooperate with Noble Web Studio in the defense and settlement of any such claims. Noble Web Studio will use reasonable efforts to notify the User of any claim, action, or proceeding subject to indemnification once it becomes aware of it.
DISCLAIMER OF WARRANTY
- To the maximum extent permitted under Applicable Law, Noble Web Studio, along with its Affiliates, officers, directors, employees, and agents, expressly disclaims all warranties—whether express, implied, statutory, or otherwise—including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property rights.
- No advice or information, whether oral or written, obtained by a User from Noble Web Studio, its Services, or the Platform shall create any warranty unless expressly stated in these Terms. Noble Web Studio does not authorise any person to provide warranties on its behalf, and Users are advised not to rely on any such statements.
- Users acknowledge and agree that Noble Web Studio acts solely as a reseller and shall not be held responsible for the obligations of any third-party sellers. It is the User’s sole responsibility to evaluate the accuracy, completeness, and usefulness of all information, advice, products, and services provided through the Platform or otherwise available on the internet.
- Noble Web Studio does not warrant that the Services or the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components, nor that any defects will be corrected. All Services, the Platform, data, information, third-party software, Reference Sites, and other materials made available through the Platform are provided strictly on an “as is,” “as available,” and “with all faults” basis, without warranties of any kind, whether express or implied.
- Neither Noble Web Studio nor its third-party suppliers, licensors, or partners make any representations or warranties regarding the accuracy, reliability, or results of the use of the Services, the Platform, or any Reference Sites.
INTELLECTUAL PROPERTY
- The Platform and Services are owned and operated by Noble Web Studio and/or its third-party licensors. All visual interfaces, graphics, designs, compilations, data, computer code (source and object code), products, software, services, and all other related elements (collectively, the “Materials”) are protected under Applicable Law.
- As between the User and Noble Web Studio, all rights, title, and interest in the Materials and Noble Web Studio’s Intellectual Property remain the sole property of Noble Web Studio and/or its licensors or suppliers. The User agrees not to remove, obscure, or modify any copyright, patent, trademark, or other proprietary notices attached to or made available through the Services.
- Nothing in these Terms grants either Party any ownership rights in the other Party’s Intellectual Property. Use of any such rights shall be strictly limited to fulfilling obligations under the applicable agreement and in compliance with its terms.
- Neither Party shall, nor permit others to, reverse engineer, decompile, or disassemble any part of the other Party’s Intellectual Property.
- Users may provide feedback, suggestions, or ideas for improving the Services by contacting apisupport@noblewebstudio.com. By submitting such feedback, the User irrevocably assigns to Noble Web Studio all rights, title, and interest, including worldwide intellectual property rights, in such feedback. The User further agrees to execute all documents and take any necessary steps to perfect such rights.
- Noble Web Studio grants the User a personal, non-exclusive, non-transferable, limited right to access and use the Services and Platform. Accordingly, the User undertakes that:
- Intellectual Property shall be used solely to discharge obligations under the applicable agreement.
- The other Party’s Intellectual Property shall only be used in the form and manner prescribed by that Party.
- The User shall not sell, license, distribute, copy, modify, publicly perform, display, transmit, publish, adapt, create derivative works from, or otherwise misuse the Materials or Noble Web Studio’s Intellectual Property.
- Prior written consent shall be obtained before using the other Party’s Intellectual Property in a manner not expressly permitted.
- Any instances of infringement, passing off, or unauthorized registration relating to the other Party’s Intellectual Property shall be reported promptly.
- The User shall assist the other Party in protecting its Intellectual Property, including cooperation in legal or administrative proceedings.
- No action shall be taken by the User that impairs, weakens, or creates adverse rights in the other Party’s Intellectual Property.
- Intellectual Property shall not be used by any unauthorized person.
- Intellectual Property shall not be misused or used in combination with any other mark(s).
- Noble Web Studio’s trade names, trademarks, logos, service marks, domain names, or distinctive brand features shall not be used without prior written consent.
- Proprietary notices (including copyright or trademark notices) attached to the Services shall not be removed, obscured, or altered.
- The Services shall not be copied, reproduced, or transmitted in any unauthorized manner.
MISCELLANEOUS
- Severability: If any provision of these Terms is found to be unlawful, invalid, void, or unenforceable, such provision shall be limited or removed to the extent necessary, without affecting the validity and enforceability of the remaining provisions.
- Assignment: Users may not assign or transfer these Terms or any rights hereunder. Noble Web Studio, however, may assign these Terms without restriction. Any assignment in violation of this clause shall be null and void.
- Headings: The headings used in these Terms are for convenience only and shall not affect the interpretation or construction of any provision herein.
- Notices: Noble Web Studio may send notices or communications to Users via registered email, postal mail, announcements on its website(s) or Platform, or by any other reasonable method. Unless otherwise specified, notices to Noble Web Studio must be delivered by courier or registered post to:

Mansarovar, Jaipur – 302020. - Waiver: Any failure by Noble Web Studio to enforce a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver shall only be effective if made in writing and signed by Noble Web Studio.
- Relationship of the Parties: These Terms do not create a partnership, joint venture, pooling arrangement, agency, or any other form of business association between the Parties. Noble Web Studio and the User remain independent contractors, and neither Party shall represent itself as an agent or legal representative of the other, nor shall either Party incur obligations or liabilities on behalf of the other.
Privacy Policy
Noble Web Studio Private Limited (“Noble Web Studio,” “we,” “us,” or “our”) respects every individual’s right to privacy and is committed to protecting Personal Data and Sensitive Personal Data or Information (as defined below).
This Privacy Policy (“Policy”) applies to all visitors (those without an account) and users (those with an account) (together referred to as “Users”) who share their Personal or Sensitive Personal Data with us while visiting, accessing, browsing, or using our website and mobile application (collectively, the “Website”). The purpose of this Policy is to inform Users about how we collect, use, store, transfer, and disclose their information. We strongly recommend that you carefully read this Policy before sharing any information with us to understand how your data will be handled.
By accessing, browsing, or continuously using the Website, Users acknowledge and agree that this Policy forms an integral part of Noble Web Studio’s Terms & Conditions, available at [Terms & Conditions], and that all terms defined in the Terms of Use carry the same meaning in this Policy. Continued use of the Website constitutes the User’s unconditional consent to this Policy, read together with the Terms of Use. If you do not agree with the terms of this Policy, we request that you refrain from visiting or using our Website. This Policy is accessible across the Website, including, but not limited to, at the point when Users create an account.
Noble Web Studio reserves the right to amend, modify, or update this Policy at any time, with or without prior notice. While material changes will be communicated via the User’s registered email or any other available mode of communication, we recommend reviewing this Policy periodically to stay informed of updates. Continued use of the Website following any such changes will be deemed as the User’s acceptance of the updated Policy as well as Noble Web Studio’s prevailing practices and policies at the time of use.
Definitions
- Data Fiduciary: As per the DPDP Act, a Data Fiduciary is any person who, either independently or in collaboration with others, determines the purpose and means of processing personal data.
- Data Principal: Under the DPDP Act, a Data Principal is the individual to whom the personal data relates. This includes:
- in the case of a child, their parents or lawful guardian;
- in the case of a person with a disability, their lawful guardian acting on their behalf.
- Payment Data: Refers to comprehensive transaction details and related information that are collected, transmitted, or processed as part of a payment instruction. This includes:
- Customer Data: e.g., name, mobile number, email, Aadhaar, PAN, etc.
- Payment-Sensitive Data: e.g., customer and beneficiary account details.
- Payment Credentials: e.g., OTPs, PINs, passwords, etc.
- Transaction Data: e.g., originating and destination system details, transaction reference, timestamp, amount, etc.
- Personal Data: As defined in the DPDP Act, any data relating to an individual who is identifiable either directly or indirectly by or in connection with such data.
- Personal Information: Under the SPI Rules, means any information relating to a natural person that, either directly or in combination with other information available or likely to be available with a body corporate, is capable of identifying that individual. Examples include name, address, or mobile number.
- Sensitive Personal Data or Information: As per the SPI Rules, includes but is not limited to:
- Passwords;
- Financial details such as bank account, credit/debit card, or other payment instrument information;
- Physical, physiological, or mental health condition;
- Sexual orientation;
- Medical records and history;
- Biometric data;
- Any detail relating to the above categories provided to a body corporate for availing services;
- Any information received under the above categories for processing or storage under lawful contract or otherwise.
- KYC: Refers to the Know Your Customer verification process carried out in accordance with the Reserve Bank of India’s Master Directions on KYC dated February 25, 2016, as amended and updated from time to time.
- Information freely available in the public domain or disclosed under the Right to Information Act, 2005, or any other applicable law, shall not be considered Sensitive Personal Data or Information.
Disclosure of Information
You expressly provide your consent and authorise Noble Web Studio to share your Personal Information and Sensitive Personal Data or Information with our trusted affiliates and other third parties, strictly to the extent and for the lawful purposes outlined in this Policy. We will not disclose any Personal or Sensitive Personal Data to any government authority or institution except in the following circumstances:
- When disclosure is required by law;
- When requested by a lawfully authorized government authority;
- Pursuant to a judicial order or decree;
- To enforce or protect the legal rights of Noble Web Studio or others;
- To seek any legal relief;
- To defend against any charge or claim;
- To oppose any claim;
- To enforce this Policy or our Terms of Use; or
- To obtain legal advice.

All Users engaging with the Noble Web Studio Platform acknowledge and agree that any information accessed, processed, or transmitted through Noble Web Studio services shall be used solely for the purposes for which the User has provided explicit consent. Noble Web Studio strictly prohibits any unauthorised use of such information by third parties, including its group companies, subsidiaries, affiliates, or agents.

RSP Terms and Conditions
Noble Web Studio Private Limited (“Noble Web Studio”) is a Financial & Non-Financial Service Provider that provides banking services to both individuals and businesses. Noble Web Studio is authorised by multiple banks to function as a Corporate Business Correspondent (“CBC”) and to appoint Agent Business Correspondents (“ABC”) for delivering mainstream financial and citizen services to customers, in line with the guidelines issued by the Reserve Bank of India (RBI) under Circular No. RBI/2010-11/217 DBOD. No. BL.BC.43/22.01.009/2010-11 dated September 28, 2010, along with any subsequent amendments as may be introduced by the RBI from time to time.
For the purposes of these terms, “RSP (s)” refers to Users registered on the Noble Web Studio platform who are duly authorised by Noble Web Studio and its partner banks to operate as ABC(s) under the above RBI guidelines and provide the banking and citizen services covered under these User Terms and Conditions.
These User Terms and Conditions (“Terms”) are supplemental to the general Terms and Conditions stated above and are applicable to User registered on the Noble Web Studio platform.
KYC & Due Diligence Policy
Objective
The purpose of this policy is to define the framework, eligibility, process, and compliance requirements for onboarding User, in alignment with the guidelines issued by the Reserve Bank of India (RBI), Indian Banks’ Association (IBA), and respective Bank’s internal policies. The policy ensures transparency, accountability, and proper due diligence while engaging agents to deliver financial services at the last mile.
This policy applies to all individuals/entity being appointed as User under the Business Correspondent model for providing financial services, including but not limited to:

Eligibility Criteria for User

- Must not be employed with any other bank/financial institution in a conflicting role
- Should not have a criminal record / pending litigation

1. OBLIGATIONS AND DUTIES
- The User shall carry out activities strictly in accordance with the applicable Terms, relevant regulations, and standard operating procedures issued by the Bank or Regulators from time to time.
- The User shall maintain adequate insurance coverage to safeguard itself against business interruptions, financial risks, and non-financial risks.
- The User shall operate entirely at its own cost, as required by the Company or the Bank, to effectively deliver services to customers.
- Any additional resources engaged by the User must receive prior written approval from the Company and shall be selected through a process deemed suitable by the Company to ensure timely and efficient service delivery.
- The User shall bear sole responsibility for compliance with all applicable labour laws in relation to its personnel, including associated costs. Noble Web Studio shall have no right, obligation, or responsibility to control, supervise, or manage the User employees, agents, distributors or contractors.
- The User may use third-party software for providing services only with prior written consent from the Company. Such software must be validly licensed, lawfully procured, and properly installed. User shall ensure that the use of such third-party software does not interfere with or damage Noble Web Studio’s software.
- The User shall act prudently and with due diligence in carrying out its duties under these Terms and Conditions and shall preserve data in compliance with the Company’s legal and regulatory obligations, as well as applicable guidelines, circulars, and notifications issued by the Bank or regulators.
- The User shall not exercise any lien, right of set-off, or appropriation over any assets, properties, documents, instruments, or materials belonging to the Company, Customers, or non-Customers that are in its custody, for any amount due or claimed by the User from the Bank.
- The User shall promptly provide customers with details of charges (if any) for services as communicated by the Company and shall clearly inform customers of such charges prior to rendering services.
- The User shall not levy any fee, directly or indirectly, over and above the charges specified by the Company from time to time.
- The User undertakes to perform services in strict accordance with instructions issued by the Company from time to time.
- The User shall ensure that all software and hardware it uses comply with industry standards and are updated regularly.
- The User shall immediately notify the Company of any security breach or leakage of confidential information and shall be held liable for any resulting damages or consequences.
- The User shall familiarise itself with the Company’s Grievance Policy, communicate the same to customers, and report any customer claims, complaints, or grievances to the Company within the specified timeline.
- The User undertakes to safeguard all customer information in accordance with these Terms and Conditions and shall not solicit or collect any additional sensitive personal data from customers.
- The User shall not, under any circumstances, engage in financial transactions with Noble Web Studio’s employees, associates, agents, or personnel. Noble Web Studio shall not be liable for any losses or damages (direct or indirect) arising from such transactions.
- The User shall treat all customers with dignity and respect and shall not engage in any form of intimidation, harassment, or abuse, whether verbal or physical.
- If any legal proceedings are initiated by a customer, the User shall immediately notify the Company and provide all relevant documents and information to enable the Company to take appropriate action.
- The Company shall bear no liability for disputes arising between the User and any third party. The User shall not make any representations or warranties to customers beyond those expressly provided in the standard terms and conditions of the Company.
2. CASH MANAGEMENT
Noble Web Studio may, from time to time, authorise certain Users to carry out cash management activities in order to extend the reach of banking services and promote greater financial inclusion. Such BC Merchants shall, for the purposes of these terms, “BC Merchants(s)” refers to Users.
- Collect and/or dispense cash at other User outlets within the assigned territory to ensure uninterrupted delivery of banking and citizen services to customers, in accordance with mutually agreed terms.
- Acknowledge and accept full responsibility for all risks associated with cash logistics, and maintain appropriate insurance coverage to safeguard against business disruptions, as well as financial and non-financial risks.
- Be solely accountable for ensuring that only genuine currency is provided to other Users and, in turn, to customers for all transactions. The Company shall bear no responsibility in this regard.
- Ensure that any credit or debit relating to cash collected or dispensed to other Users is settled immediately at the time of handing over the cash.
- The Company does not accept any cash deposit transactions directly into the Noble Web Studio Account for any wallet Fund Top-up or Collection.
3. PROHIBITED ACTS & AML
3.1 Users shall not, directly or indirectly, use Noble Web Studio’s services for:- Money laundering or structuring transactions to avoid reporting requirements.
- Funding or supporting terrorist organizations.
- Conducting or facilitating fraud, identity theft, or cybercrime.
- Using false identities, forged documents, or shell entities.
- Concealing the origin or ownership of funds obtained illegally.
- Collect Customer data on public domain or data selling.
- Misleading customer.
- Crypto Currency investment for Personal and commercial gain through the Platform.
- All User information collected for AML/KYC purposes will be handled in accordance with Noble Web Studio’s Privacy Policy.
- Information will only be shared with regulatory authorities or as otherwise required under Applicable Law.
- They have read, understood, and accepted this AML & Compliance Policy.
- They will comply with all requirements and cooperate with any compliance-related requests from the Company.
- Failure to comply may result in account suspension, termination, or legal action.
RECORDS AND AUDIT
The User shall maintain accurate physical records of all Financial Transactions in a duly registered book, including transaction details and the customer’s signature. The Company shall have the right to access the User transaction records relating to the Financial Services, as well as any other information provided to, stored, or processed by the User in connection with the Financial Services and the obligations under this Agreement.
Company can do Surprise visit for Audit or Upon providing a reasonable notice period of two (2) days, the Company may conduct audits or inspections, either directly through its internal teams or external auditors, or through agents authorized to act on its behalf, and may obtain copies of any audit or review reports and findings concerning the User in relation to the Services performed for or on behalf of the Company.
Additionally, the Service Provider, Technology Provider, any regulatory authority, or their duly authorised representatives shall be entitled to access the User’s documents, transaction records, and other relevant information within a reasonable timeframe. Such parties shall also have the right to inspect the User, including its books and accounts, through their officers, employees, or other authorized persons.
1. IRCTC OBLIGATIONS FOR RSP/USER MANDATES FOR BOOKING
- The User shall ensure that every transaction (whether booking or cancellation) is carried out only with the full knowledge and consent of the customer.
- It is mandatory for all Users to maintain written or electronic requests from customers, along with a copy of their valid ID proof, for both booking and cancellation of tickets. These records must be retained at the User outlet for a minimum period of six (6) months and must be produced to Noble Web Studio or IRCTC upon request. Failure to maintain such records will attract a penalty of ₹5,000/- plus applicable taxes per case or as per IRCTC norms.
- The mobile number of the customer or one of the passengers must be provided at the time of booking. This number must be accurately recorded on the Electronic Reservation Slip (ERS). The User shall ensure correctness of such details. Any violation will result in a penalty of ₹5,000/- plus applicable taxes per case or as per IRCTC norms.
- Every invoice issued by the User must clearly reflect a breakdown of charges, including:
- Railway Fare
- IRCTC Service Charges
- Agent’s Service Charges
- Payment Gateway Charges
2. MANDATES FOR FILING TDR/REFUND
- In the absence of a written request or soft copy from the customer for filing a TDR claim, a penalty of ₹5,000/- plus applicable taxes shall be imposed per case.
- When cash cards are used, the exhausted cards must be retained for processing any applicable refunds.
- The User shall refund the money to the customer immediately in accordance with the cancellation rules in all cases.
- In cases where e-tickets cannot be cancelled online and a TDR has been filed, the User must:
- Inform the customer about the TDR refund process
- Collect the customer’s contact details
- Remit the refund to the customer once the amount is credited to the User’s wallet/account
- The status of a TDR refund can be verified by the User through the Noble Web Studio Portal.
- The User must refund the TDR claim amount to the customer within five (5) working days from the date the refund is received from Noble Web Studio.
- If the User fails to refund the TDR claim amount to the customer within the prescribed timeline and does not return the same to IRCTC, it shall be treated as “non-refund to customer,” and penalties will be imposed as per the provisions of IRCTC.
- Along with processing the refund, the User must also provide the customer with the refund details at the time of cancellation.
3. PROHIBITED ACTS
The following acts are strictly prohibited and will invite strict action, including but not limited to deactivation of User IDs, punitive measures, and legal proceedings wherever applicable:
- Issuing any form of advertisement, whether in print, press, or digital media, without prior written approval from Noble Web Studio.
- Collecting extra charges from customers in any form, including for ticket cancellation or availability status checks.
- Booking of I-tickets or counter tickets, this shall result in immediate deactivation of the User ID as a minimum penalty.
- Sharing of access credentials to web services, or engaging with third parties in any manner to sell e-tickets (including via e-commerce platforms, websites, smartphone applications, or tablet applications). Transfer or sharing of User IDs provided by Noble Web Studio / IRCTC is strictly prohibited. Noble Web Studio reserves the right to take strict action against any agent group found guilty of such violations.
- Booking tickets using any IDs other than IRCTC-provided agent IDs. Use of personal IDs or incorrect IDs for commercial purposes shall result in immediate deactivation of the account, along with punitive and/or legal action.
- Transfer and resale of tickets, which is punishable under Section 142 of the Indian Railways Rules.
- Unauthorized use of the IRCTC logo on visiting cards, letterheads, pamphlets, or any other material without approval from Noble Web Studio or IRCTC.
- Booking of benami (fictitious) e-tickets, which is strictly prohibited and shall be subject to prosecution.
- Blocking of accommodation by using fictitious names, which is a criminal offence under the Indian Railways Act, 1989 and punishable accordingly.
- Modification, alteration, or tampering of the Electronic Reservation Slip (ERS), which shall be treated as a criminal act punishable under Section 420 of the Indian Penal Code if brought to the notice of Noble Web Studio.
- Selling of e-tickets booked through personal IDs for any commercial purpose.
4. PENALTIES
- Any fraudulent activities—including but not limited to overcharging, booking tickets through personal user IDs, creating multiple personal user IDs, using personal or incorrect numbers to book IRCTC tickets, sharing access credentials/RSP IDs, booking or cancelling e-tickets in collusion with middlemen or third parties, or engaging in any other irregularities—shall be dealt with strictly.
- Punitive action will be taken against any act of misconduct, irregularity, or non-compliance with these Terms and Conditions.
- The penalties applicable for such irregularities, misconduct, or non-compliance by Users are as follows:
5. SETTLEMENT
The mechanism for settlement of fees payable by either the User or the Company, as applicable, shall be as follows:
The Company shall provide the User with an electronic report containing details of each Transaction, including the transaction amount, date and time, transaction serial number, service provider identification, and response code (the “MIS”). This MIS report will be accessible to the User through an online portal, in such format and with such controls as determined by the Company, subject to updates from time to time.
- The User shall maintain sufficient credit or balance with the Company to ensure the smooth execution of all Transactions. The Company reserves the right to decline any Transaction that exceeds the available balance of the User.
- The User acknowledges and agrees that Noble Web Studio acts solely as a facilitator of payment processing services, as requested and authorised by the User. Noble Web Studio shall not be responsible for any unauthorised transactions carried out by any person, including third parties, or for any infringement of rights or customer chargebacks. It shall be the sole responsibility of User to ensure adequate safeguards when transacting, whether online or offline. Noble Web Studio will, however, assist the User in addressing queries relating to the Services arising between the User and its Customers or any other User. Notwithstanding the foregoing, Noble Web Studio shall bear no liability with respect to disputes or queries related to payments made by Customers to the User.
- Upon receipt of a Chargeback from a Customer, the Company shall notify the User. The User shall be required to submit relevant documents and information pertaining to the disputed Transaction within one (1) working day, or within such period as specified by the bank, whichever is longer. The User acknowledges and agrees that:
- if it fails to submit the required Chargeback documents, or
- if the bank is not satisfied with the documents furnished by the User,
6. DATA SECURITY AND STORAGE
The User agrees to comply with the provisions of the Information Technology Act, 2000, along with all applicable statutory rules, regulations, and amendments enacted from time to time, to the extent relevant to its operations under these Terms and Conditions. The User shall also adhere to all other applicable laws, rules, and regulations—whether currently in force or enacted in the future—relating to data security, data management, data storage, data sharing, and data protection. Further, the User shall ensure that its employees maintain the same level of compliance.
- User represents and warrants that it will not engage in any activity that violates applicable laws or regulations. It further confirms that all financial data or any other customer information received in connection with its services will be stored exclusively on systems located in India. Such data shall include complete end-to-end transaction details and all information collected, transmitted, processed, or carried as part of any message or payment instruction.
Restricted Services
Prohibited Transactions Policy
The User agrees and acknowledges that transactions conducted through the platform shall not involve, directly or indirectly, the offer, sale, or purchase of any of the following restricted products and/or services:
- Weapons – Firearms, ammunition, knives, brass knuckles, gun parts, or any related armaments.
- Adult goods and services – Pornography, sexually explicit material (including literature, imagery, or media), escort or prostitution services, or access/membership to pornographic or illegal websites.
- Hazardous materials – Pyrotechnics, explosives, combustibles, corrosives, flammables, radioactive substances, or other dangerous goods.
- Unlicensed alcohol – Alcoholic beverages such as beer, liquor, wine, or champagne sold without proper licenses.
- Drugs and paraphernalia – Illegal drugs, accessories, herbal drugs (e.g., salvia, magic mushrooms), or items intended for drug use.
- Drug test circumvention products – Cleansing shakes, urine additives, or similar items.
- Unlicensed pharmaceuticals or non-approved chemicals.
- Human body parts – Organs, tissues, or other biological materials.
- Bulk marketing tools – Email lists, software, or products enabling spam/unwanted communication.
- Child or animal pornography.
- Copyright circumvention devices – Mod chips, hacking tools, or devices designed to bypass copyright protection.
- Copyrighted media/software – Unauthorized copies of books, music, movies, software, video games, OEM/bundled software, or other protected content.
- Counterfeit/unauthorized goods – Fake designer goods, celebrity endorsements without consent, counterfeit autographs, fake stamps, or similar unauthorized items.
- Endangered species – Products derived from protected plants, animals, or organisms.
- Gambling & casinos.
- Government-issued documents – Fake IDs, passports, diplomas, licenses, or official insignia.
- Hacking/cracking tools – Guides, manuals, or equipment for unauthorized access to software, servers, or networks.
- Illegal goods or services – Products, materials, or information promoting unlawful activity.
- “Miracle cures” – Unverified health remedies or quick-fix products.
- Precious metals, stones, and jewellery (where unlicensed or illegally sourced).
- Offensive goods – Items that:
- Defame or slander individuals or groups on the basis of race, ethnicity, religion, gender, etc.
- Promote violence, intolerance, or hatred.
- Incite illegal or immoral behaviour.
- Crime-related goods – Items connected to criminals or crime scenes.
- Regulated goods – Including airbags, mercury batteries, refrigerants, solvents, pesticides, recalled items, government uniforms, license plates, police/military equipment, lock-picking tools, postage meters, slot machines, and surveillance devices.
- Nuclear materials or related businesses.
- Securities – Government bonds or similar restricted financial instruments.
- Unlicensed forex or cross-border fund transfer services.
- Unlicensed tobacco products – Cigarettes, cigars, chewing tobacco, or related items.
- Traffic control devices – Radar detectors, jammers, signal changers, or similar products.
- Live animals, hides, skins, teeth, nails, or other animal parts.
- High-risk services – Businesses that may cause reputational damage to payment facilitators or lead to high chargebacks (e.g., adult content, dating/escort services).
- Businesses prohibited by law – Such as betting, gambling, lotteries, sweepstakes, or content likely to incite communal/caste tensions or deemed morally objectionable.
- Entities in FATF high-risk jurisdictions.
- Non-profit/charitable institutions – NGOs, trusts, or similar organizations.
- Virtual currency and crypto currency-related businesses.
7. TERMINATION & SUSPENSION OF PLATFORM SERVICES BY COMPANY
- User acknowledges and agrees that Noble Web Studio may, at its sole discretion, suspend or terminate the account (or any portion thereof) and/or access to the Noble Web Studio Platform at any time, for any reason or no reason, without penalty. Noble Web Studio also reserves the right, at its sole discretion and at any time, to discontinue providing access to the Noble Web Studio Services, in whole or in part, with or without prior notice.
- User understands and agrees that such termination of access may occur without prior notice and that Noble Web Studio shall not be liable to User or any third party for any suspension, termination, or service interruption. Any activity suspected to be fraudulent, abusive, or illegal may be reported to the appropriate law enforcement authorities.
- These rights and remedies are in addition to any other remedies available to Noble Web Studio under law or equity. Upon termination for any reason, User agrees to immediately cease all use of the Noble Web Studio Services and Platform.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, India.
